Terms of Service

Last updated: 2026-10-14 · Operated by Tunabear Inc., d/b/a Rudy AI · 11711 Hillcrest Rd, Dallas, TX 75230, United States

These terms are written against what the app does. Plan limits, billing mechanism and the AI arrangement were read from the code, not assumed. The bracketed fields are decisions only you can make — see Fields you must complete at the end.

By installing Rudy AI on your Shopify store you agree to these terms, together with the Privacy Policy and the Data Processing Addendum.

1. What the app does

Rudy AI reviews and rewrites product content for search engines and AI assistants, and reports on how your store is found. It acts on your store with the permissions you grant at install, which include writing to your products. It reads your theme and your pages but does not create, install or change themes or pages.

You remain responsible for your storefront. The app proposes and applies changes at your request; what your customers see is published under your name.

2. Your account

You need a Shopify store and must keep the app installed to use it. You are responsible for who in your organisation can use it, and for what they do with it.

3. Plans, limits and billing

Shopify bills you, not us. Plans use Shopify Managed Pricing; charges appear on your Shopify invoice, and Shopify's own billing terms and refund handling apply. We do not take your card details and never see them.

PlanPrice / monthMonthly token allowanceProducts
Free$0500,00025
Starter$9.992,000,000100
Professional$29.996,000,0001,000
Enterprise$99.9920,000,000unlimited

What a token allowance is, and what happens when it runs out. AI work consumes tokens, metered by what each request actually costs. When your allowance for the period is spent, AI features stop until the period resets — the app keeps working, but requests that need a model are refused with that reason rather than failing silently. Your allowance resets at the start of each billing period. Unused allowance does not carry over.

Changing plans takes effect through Shopify. Upgrading gives you the new allowance for the new period; it does not retroactively restore work refused earlier.

Price and allowance changes. We may change prices or allowances on 30 days notice. A change that reduces your allowance or raises your price does not take effect until your next billing period, and you may cancel before it does.

4. AI, and what you are agreeing to about it

AI is included in every plan and runs on our provider accounts. You do not supply an API key and there is no setting for one. We choose which model runs which task, and we may change that choice — for cost, speed or quality — without notice. What leaves your store does not change when we do; see the DPA §6.2.

AI output is a draft, not an authority. Generated titles, descriptions and structured data can be wrong, can be generic, and can state things about your products that are not true. Review before publishing. You are responsible for what you publish, including its accuracy, its compliance with advertising and labelling rules in your markets, and any claim it makes about your goods.

We make no promise about rankings, traffic or sales. Search engines and AI assistants change what they do, constantly and without telling anyone. The app applies practices that are current and measurable; it cannot guarantee a result, and nothing in it should be read as such a promise.

Fair use. The allowance bounds normal use. We may suspend or rate-limit an account that automates the app beyond what a merchant would plausibly do, resells its output as a service, or uses it to generate content for stores other than its own.

5. Content you provide, and content you point at

You keep ownership of your store content. You grant us only the licence needed to operate the app for you — to store, process, transmit to the sub-processors in the DPA, and produce the output you ask for.

Generated layouts. Earlier versions of the app generated themes, and retained their section layouts as anonymous structure that may be offered to other merchants — structure only; words, prices and images always came from whichever store rendered it. The app no longer generates themes (since 14 October 2026), so nothing new is added. See Privacy Policy §6.2.

6. What you must not do

7. Availability

We aim to keep the app available and give no uptime guarantee. It depends on Shopify, on our infrastructure provider and on third-party AI and search-data providers, any of which can fail or change. Planned maintenance will be announced where we reasonably can.

When AI is unavailable on our side, AI features stop and say so. That is our problem to fix, not a setup step for you, and it does not consume your allowance.

8. Ending it

You may uninstall at any time from your Shopify admin. Billing stops per Shopify's terms.

We may suspend or terminate for a material breach of these terms, for use that threatens the service or other merchants, or if required by law or by Shopify. We will tell you why unless we are legally prevented.

What happens to your data is set out in the DPA §9: uninstalling starts a 48-hour window before erasure, so a reinstall inside it does not lose your work.

9. Liability

Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.

Subject to that: we are not liable for indirect or consequential loss, including lost profit, lost revenue, lost rankings or lost goodwill; and our total liability in any 12-month period is limited to the amount you paid for the app in that period. On a free plan that amount is zero, and the practical remedy is to stop using it.

The app is provided "as is" and "as available", without warranties beyond those that cannot be excluded.

10. Changes to these terms

We may change these terms. Material changes take effect on 30 days notice, by in-app notice and email to your store contact address. Continuing to use the app after that is acceptance. If you do not accept, uninstall before the change takes effect.

11. Law and disputes

These terms are governed by the law of the State of Texas, United States, and the courts of Dallas County, Texas have exclusive jurisdiction, without affecting any right you have to bring a claim where you live if your local law gives you one.
